Terms of Service

By accessing or using the Noosphere Prime platform ("Platform", "Service"), including through the web interface, API, or any other means of access, you confirm that you have read, understood, and agree to comply with these Terms of Use ("Terms"), together with the Privacy Policy and Cookie Policy, which form an integral part of this agreement.

If you use the Platform on behalf of an organization, you represent that you have the legal authority to bind that organization by accepting these Terms.

If you do not agree with these Terms, you do not have permission to access or use the Platform.

Noosphere Prime is an independent financial intelligence platform that provides data analysis, systemic scoring, and informational reports based on open sources (OSINT). Services include, without limitation:

• —Noosphere Score — multi-layer systemic fragility scoring (0–100)
• —Macroeconomic regime classification (Stable / Accumulation / Critical / Collapse)
• —Sentiment analysis from GDELT sources and global media
• —SEC EDGAR document monitoring (Form 4, 8-K, 13D/G)
• —Real-time energy and maritime data (ENTSO-E, EIA, AIS)
• —Backtesting, stress-testing, and contagion analysis
• —Prediction Ledger with SHA256 verification at T+30/60/90
• —AI-assisted executive reports
• —Programmatic access via REST API

To use the Platform, you must be at least 18 years old and have full legal capacity. Use of the Platform is prohibited for persons or entities on international sanctions lists (OFAC, EU, UN) or residing in embargoed jurisdictions.

Upon registration, you are required to provide accurate and complete information. You are responsible for the confidentiality of your account credentials and for all activities conducted through your account. Any unauthorized access must be reported immediately to contact@noosphereprime.space.

A registered account may not be transferred or assigned to another person or entity without our prior written consent.

The Platform offers the following access tiers:

Prices are expressed in USD, excluding VAT. Subscriptions renew automatically at the end of each billing period. You may cancel at any time through your Stripe account or at contact@noosphereprime.space — cancellation takes effect at the end of the current billing period, with no pro-rata refund for unused days.

We reserve the right to modify prices with 30 days' notice communicated by email. Continued use after the effective date constitutes acceptance of the new prices.

Payment processing is handled exclusively by Stripe Inc. We do not store card data. By making a payment, you also agree to the Stripe Terms of Service (stripe.com/legal).

We commit to delivering a functional platform. If you encounter serious technical issues within the first 7 days of subscription activation and have made fewer than 20 API calls, you may request a full refund at contact@noosphereprime.space.

Outside this period, monthly subscriptions are non-refundable. If the platform experienced cumulative downtime exceeding 72 hours in a calendar month due to causes directly attributable to it, the user is eligible for a free one-month extension.

Refunds are not granted for dissatisfaction with the accuracy of predictions or analyses — the probabilistic nature of financial analysis is explicitly documented in these Terms.

You agree not to use the Platform for:

• —Market manipulation, front-running, or any activity prohibited by applicable securities law
• —Redistributing, reselling, or sublicensing platform outputs without our written consent
• —Providing regulated financial advice based on platform outputs without the appropriate license
• —Reverse engineering, scraping, or systematic data extraction beyond your API quota
• —Attempts to circumvent rate limits, authentication, or access controls
• —Submitting false, misleading, or third-party data without consent
• —Any illegal activity or activity that infringes third-party rights
• —Using outputs in public reports, products, or commercial services without attribution and written consent

Violation of these restrictions may result in immediate account suspension without refund and, where applicable, notification of competent authorities.

The Platform aggregates data from third-party open sources, including but not limited to: GDELT Project, SEC EDGAR, ENTSO-E, EIA, AISHub, Stooq, Yahoo Finance, FRED (Federal Reserve Bank of St. Louis), AEMO, ONS. The availability, accuracy, and continuity of these sources are not under our control.

We do not guarantee that data provided by third-party sources is complete, up to date, or error-free. We reserve the right to replace, add, or remove data sources without prior notice when this is necessary for service quality.

Use of data from the platform remains subject to the original license terms of the respective sources. The user is responsible for ensuring that any derivative use of data complies with those licenses.

Copyright: All elements of the Platform — including source code, SIGMA Engine algorithms, mathematical models, computation layers (Metabolic, Fragility, Psychology, Network, NLP, Prediction, Learning, Technical), internal weights and parameters, UI/UX design, branding, documentation, and editorial content — are protected by copyright and constitute the exclusive property of Noosphere Prime.

Trade secret: The SIGMA v5.0 algorithm and its implementation constitute a trade secret within the meaning of Law no. 11/1991 and EU Directive 2016/943 on the protection of undisclosed know-how and business information. Any unauthorized access to, copying, reproduction, reverse engineering, or use thereof constitutes a serious violation and will be pursued criminally and civilly.

Watermark and integrity: All API outputs are cryptographically signed with a unique HMAC signature. Any redistribution of data without attribution or with an altered signature is technically detectable and constitutes a violation of these Terms.

Express prohibitions: The following are strictly prohibited: (i) reverse engineering of the SIGMA algorithm or any component; (ii) systematic scraping of outputs for the purpose of building a competing product; (iii) commercial redistribution of Noosphere Scores without a written license; (iv) reproduction of the methodology, UI, or any branding element; (v) training AI models on Platform data without the written consent of Noosphere Prime.

User license: Your subscription grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for internal business purposes. This license does not include the right to copy, distribute, modify, or create derivative works.

Ownership of submitted data: Data you submit to the Platform remains your property. You grant us a limited license to process it solely for the purpose of providing the Service.

Mandatory attribution (public API): Use of the free public API requires visible attribution: "Powered by Noosphere Prime SIGMA Engine — noosphereprime.space". Commercial use without a license is prohibited.

Violation of these provisions may result in civil liability (damages, including lost profits) and criminal liability under applicable Romanian and European law.

The collection and processing of your personal data is governed by the Privacy Policy, which forms an integral part of these Terms. By using the Platform, you confirm that you have read and agree to the Privacy Policy.

Processing via AI models:Queries and data submitted in the terminal may be transmitted to Anthropic Inc. and Mistral AI language models for response generation. This data is processed according to those providers' privacy policies. We do not transmit personally identifiable information (PII) to AI models, however your queries may contain sensitive information — exercise discretion.

Under GDPR (EU Regulation 2016/679), you have the right to access, rectification, erasure, portability, and objection to the processing of your data. Exercise these rights at contact@noosphereprime.space.

Upon activating a subscription, you receive one or more API keys with the prefix nsp_. API keys are confidential and have the value of authentication credentials.

• —Do not distribute, publish, or expose API keys in public source code (GitHub, etc.)
• —Do not share keys with third parties or entities
• —Fraudulent activity through your API key remains your responsibility until the key is reported and deactivated
• —We reserve the right to deactivate compromised keys without prior notice

Exceeding the daily API call quota results in temporary access blocking until the counter resets (midnight UTC). Repeated attempts to exceed the quota or circumvent rate limiting may result in account suspension.

This limitation applies regardless of whether the claim is based on contract, tort, strict liability, or any other legal theory, and regardless of whether we have been advised of the possibility of such damages.

The Platform is provided "as is" and "as available", without warranty of any kind, express or implied.

We expressly disclaim any warranty regarding:

• —The accuracy, completeness, or usefulness of outputs for any particular purpose
• —The uninterrupted or error-free operation of the Platform
• —The absence of bugs, viruses, or other harmful components
• —That Noosphere Score, predictions, or any other analysis will generate profitable results
• —That the third-party data sources used are accurate or up to date
• —That the Platform will meet your specific requirements

You agree to defend, indemnify, and hold harmless us, our associates, employees, contractors, and licensors from any claim, damages, obligations, losses, liabilities, costs or debts, and expenses (including attorney fees) arising from or related to:

• —Use of the Platform in violation of these Terms
• —Use of Platform outputs for the purpose of providing regulated financial services without the appropriate license
• —Any third-party claim arising from your activities on the Platform
• —Violation of any applicable law or regulation
• —Data or content you submit through the Platform

We shall not be liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including but not limited to: natural disasters, pandemics, armed conflicts, government actions, infrastructure power outages, interruptions to cloud services (Vercel, Firebase, Upstash), unavailability of third-party data sources (GDELT, EDGAR, ENTSO-E), cyberattacks, or other similar events.

In the event of a force majeure event lasting more than 7 consecutive days, active users will receive a free extension equal to the period of unavailability.

We reserve the right to modify, update, temporarily suspend, or permanently discontinue any aspect of the Platform, including features, API endpoints, scoring models, or user interface, with or without prior notice.

Changes that materially affect features you have paid for will be communicated at least 14 days before taking effect, with the option to cancel and receive a pro-rata refund if you do not agree with the changes.

We may immediately suspend or terminate your access to the Platform, without refund, if:

• —You violate any provision of these Terms
• —You use the Platform for illegal or fraudulent activities
• —You distribute, resell, or sublicense access or outputs without our consent
• —Repeated attempts to exceed API quotas or circumvent security mechanisms
• —Requesting or processing fraudulent refunds

You may terminate your subscription at any time through the Stripe portal. Upon termination, access to the Platform ceases at the end of the current billing period. Your data is retained for 30 days after termination, after which it is deleted in accordance with the Privacy Policy.

These Terms are governed by and construed in accordance with the laws of Romania and the European Union, without giving effect to conflict of law principles.

Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Romania. EU individual users benefit from consumer protection rights provided by mandatory local law, regardless of this jurisdiction clause.

Before initiating any judicial proceedings, both parties agree to attempt amicable resolution of the dispute within 30 days of written notification of the dispute.

We reserve the right to update these Terms at any time. Material changes will be communicated by email to your registered address at least 14 days before taking effect. The date of last update is displayed in the header of this document.

Continued use of the Platform after the effective date of the new Terms constitutes acceptance thereof. If you do not agree with the changes, you may terminate your subscription before they take effect.
